Bogdan Duda is an attorney-at-law (Polish: radca prawny) with over 20 years of comprehensive professional experience. Before joining B2RLaw in 2017, he worked at leading international law firms operating in Poland and was a partner at a large Polish law firm.
He specializes in M&A transactions and corporate law. He participates in transactions involving companies generating heat and energy, in particular energy from renewable sources. He advises on regulatory issues related to the generation of energy from renewable sources and on the conclusion of contracts for the sale of electricity.
He regularly advises companies in the defence sector in tenders for the supply of military equipment and ammunition to the Polish Armed Forces, supports the firm’s clients in their dealings with the Armaments Agency and assists in obtaining and amending licenses to carry out activities concerning manufacturing, service and trade with military equipment and ammunition.
He heads the firm’s German Desk team.
Corporate & M&A | Private Equity
On numerous occasions, he has led M&A transactions of significant value, a substantial part of which were cross-border in nature. In M&A transactions, he mainly supported industry investors operating in sectors such as renewable and conventional energy, financial services, mining, FMCG or food processing.
He has conducted liquidations, restructurings and transformations of companies, including family enterprises. Among others, he advised a leading furniture manufacturer and a construction company (family enterprises) on complex restructuring and tax optimization with elements of cross-border mergers.
He regularly advises subsidiaries of foreign companies on corporate matters. He is a permanent proxy of foreign companies and exercises voting rights in Polish subsidiaries on their behalf.
Energy and natural resources | Renewable energy sources
He regularly manages transactions involving companies that generate energy and heat, particularly renewable energy.
He advises on regulatory and contractual issues (PPAs) related to the construction and operation of photovoltaic farms. Recently, he has been involved in projects for the construction of photovoltaic installations on the roofs of logistics parks and warehouses, including direct lines between energy generators and tenants.
Bogdan advises on obtaining concessions granted by the ERO and entries in the MIOZE register.
Advises electricity consumers (eligible customers) on matters relating to the application of maximum prices and the settlement of overpayments arising therefrom.
Defence sector | Public procurement
He regularly advises companies operating in the defence sector in tenders for the supply of military equipment and ammunition to the Polish Armed Forces, in particular supporting the firm’s clients in their dealings with the Armaments Agency.
He participated, among other things, in preparing offers and negotiating a contract for the delivery of armored recovery vehicles (ARV) (order value – over PLN 1 billion) and in preparing offers and negotiating a contract for the delivery of large-calibre ammunition (order value – over PLN 300 million).
Participated in the negotiation of contracts allowing suppliers to the defence sector to use the training fields and military equipment owned by the Polish Armed Forces (self-propelled howitzer). Drafted and negotiated a contract with a Polish military scientific institute for conducting verification firings with large-calibre ammunition.
Conducts proceedings before the Ministry of the Interior on the extension and other amendments to licences manufacturing, service and trade with military equipment and ammunition.
Assists a foreign manufacturer of military equipment on establishing a service center for repair and upgrade of military tracked vehicles in Poland.
Aid to Ukraine
Advised a foreign manufacturer on conclusion of a supply contract and a separate donation contract with the Polish Government Agency for Strategic Reserves concerning power generators intended for Ukraine as humanitarian aid (contract value – over PLN 100 million). Contract financed by EU funds under the EU Civil Protection Mechanism (project: Procurement of emergency energy supply capacities to generate and/or provide energy on site).
German Desk
He is fluent in German and leads the firm’s German Desk. He regularly assists clients from German-speaking countries in entering the Polish market and in developing their Polish branches and subsidiaries.
