B2RLaw advised Everfield UK Limited in the acquisition of 100% of the shares of a Polish start-up – Grafik Optymalny

Everfield is an international IT group that invests in companies with specialized software that solves operational problems for businesses. They provide capital support, assistance in developing offerings, and opportunities for international expansion.

Everfield’s portfolio includes Germany-based SoCom, which has been operating for three decades and offers an ERP system for the textile industry, and Latvia-based AGroup, which provides HR software for corporate payroll. Everfield has recently made its inaugural investment in the Polish market, taking full control of Grafik Optymalny, and acquiring 100% of its shares, thus expanding its portfolio with another HR product.

Grafik Optymalny is a start-up founded in 2014, offering a system that automates work time scheduling using artificial intelligence (AI). The platform optimizes HR costs and simplifies scheduling through a cloud-based solution offered in a SaaS model. Grafik Optymalny streamlines and digitizes the full range of HR processes, such as time and attendance, leave management, and remote work coordination. The platform is utilized by hundreds of companies across various industries.

The company’s founders, Karolina Dolaś and Grzegorz Galos, will retain their current roles and continue to lead the company’s development, leveraging Everfield’s support, resources, and know-how.

B2RLaw’s advice included conducting due diligence on the acquired company, followed by negotiating an agreement covering the purchase of 100% of its share capital, and drafting all other transaction documents.

B2RLaw advises Vestas on the acquisition of the ST3 Offshore for over PLN 170 million.

Vestas, the Danish global giant in the wind turbine market, has just signed an agreement to purchase ST3 Offshore – the Szczecin factory. This enterprise forms the basis for the establishment of a factory for components for offshore wind farms in Szczecin. The factory will create hundreds jobs in Szczecin and several thousand more indirectly. It is expected to meet domestic and global demand for offshore wind energy and thus play a key role in achieving Poland’s energy transition goals, aiming to maximise offshore wind energy potential with a total capacity of up to 18 GW by 2040.

This is another step in the development of the offshore sector in Poland. The acquisition of ST3 Offshore, bankrupt in 2020, was made in the 6th tender for its sale. B2RLaw advised on all legal aspects related to the acquisition of the bankrupt company, including obtaining ministerial approval for the acquisition (this process, due to its complexity, took more than six months).

B2RLaw’s team advised IQ Biozoom in connection with the investment support received from VC Link.

IQ Biozoom is a Polish start-up developing technology for non-invasive monitoring of levels of biochemical substances in the body, such as glucose, cholesterol, and other biomarkers. The company is currently working on developing a device at the heart of which is a biosensor, manufactured using so-called jet printing, based on a proprietary design of advanced semiconductor devices, such as thin-film transistors, among others. The technology is not yet in commercial use. The company has just received investment support from the VC Link fund.

The fund’s portfolio mainly includes entities developing innovative technologies for the industrial, high-tech, and IT sectors.

B2RLaw’s transaction team advised IQ Biozoom at all stages of the transaction process, including the preparation and negotiation of transaction documents, the closing of the transaction, and the registration of the resulting amendments.

B2RLaw advised White Star Real Estate on the sale of a group of companies from the short-term lease market sector to Renters.pl

White Star Real Estate is focused on providing real estate solutions for development clients and management investors. From sourcing and developing real estate opportunities to implementing asset and property management solutions, they are an integrated real estate group serving CEE region. White Star has built over 50 projects since 1997. Their portfolio includes landmark office buildings, warehouses, logistics parks, build-to-suit (BTS) manufacturing facilities and other industrial projects, retail, leisure, and mixed-use concepts, residential/master-planned developments.

The part of the group engaged in comprehensive short-term rental management since 2016 was included in the sale transaction. It provides real estate owners with support in the development and security of running their business, being the exclusive or recommended rental operator of 9 investments, manages over 700 apartments in Zakopane, Warsaw, Wrocław, Poznań, Gdańsk, Kołobrzeg and Międzyzdroje. They take care of both individual apartments and houses, as well as entire facilities.
