Our Capital Markets team has considerable expertise and experience in all issues related to capital markets and the trading of financial instruments. Our advice covers both the creation of the issuer’s corporate structure prior to going public and conducting due diligence of the intended transaction’s legal status.

While preparing the necessary transaction documentation (in particular, prospectuses, information memoranda, purchase proposals, terms of issue), we assist issuers in conducting public and non-public offers of acquisitions of shares, bonds and other financial instruments, as well as in applying for the admission or introduction of financial instruments to trading on regulated markets or in alternative trading systems.

Our expertise also includes comprehensive advice on the acquisition or disposal of significant blocks of shares, including by way of calls to subscribe for the sale or exchange of shares, the sale of shares as part of accelerated book-building (ABB), the purchase of own shares and other transactions concluded beyond organised trading.

We are also pioneers in paving the way for Polish companies to go public or be listed on foreign stock exchanges, having advised on this issue for the first dual listing of a Polish company on the London Stock Exchange.
