B2RLaw Represents Minority Shareholders of Audioteka on its Acquisition by Wirtualna Polska
01/08/2023B2RLaw advised the minority shareholders of Audioteka S.A., representing approximately 40% of the company’s share capital, in the sale of shares to Wirtualna Polska Holding S.A., a company listed on the main market of the Warsaw Stock Exchange.
A preliminary conditional agreement was concluded in June this year along with accompanying documentation, including a conditional agreement on mutual waiver of claims by Audioteka, its shareholders, and their related entities. The parties finalized the transaction on July 27, 2023.
As a result of the transaction, Wirtualna Polska Holding, through its dependent entities, will hold (together with shares acquired earlier), shores representing 100% of Audioteka’s share capital and 100% of the total number of votes at the General Meeting.
